These Terms govern access to fujaembroidery.com and purchases from FUJA. By using the Site or placing an order, you agree to these Terms, the applicable product description, quotation, and the policies incorporated by reference.

1. Business identity

The Site and products are offered by Shenzhen FUJA Machinery CO., Ltd, Zongtai E-commerce Science and Innovation Park, Songbai Road, Shiyan Subdistrict, Bao'an District, Shenzhen, Guangdong, China (中国广东省深圳市宝安区石岩街道松白路宗泰电商科创园). ProStitch Machinery & Parts Inc may collect payment for the seller. References to “FUJA,” “we,” “us,” and “our” mean the seller unless the context expressly identifies another entity.

2. Eligibility and accounts

You must be legally able to enter a binding contract and provide accurate information. You are responsible for account credentials and activity. Business purchasers represent that the person placing the order is authorized to bind the business.

3. Product information and machine selection

We work to describe products accurately, but colors, screen images and non-material appearance may vary. Model, needle count, head count, embroidery area, voltage, included accessories and shipping scope must be confirmed in the product page or written order confirmation.

You are responsible for confirming site access, electrical supply, workspace, production needs, file formats, operator capability and local requirements before purchase. FUJA’s general guidance is not a substitute for professional site, electrical, customs or business advice.

4. Orders, payment and title

Orders are governed by the Payment, Pricing & Order Acceptance Policy. Title and risk of loss transfer as required by applicable law and the agreed shipping term. FUJA may retain a security interest or withhold dispatch until cleared payment is received where permitted.

5. Shipping, returns and warranty

The Shipping & Delivery Policy, Return, Refund, Cancellation & Exchange Policy, and Limited Warranty & After-Sales Service Policy are incorporated into these Terms. If a signed quotation conflicts with the Site, the signed quotation controls for that order.

6. Acceptable use

· Do not misuse the Site, attempt unauthorized access, introduce malicious code, scrape protected data at harmful scale, impersonate another person, interfere with checkout or use the Site for unlawful activity.

· Do not submit content that infringes rights, is fraudulent, deceptive, abusive or contains malicious code.

7. Intellectual property

The Site, FUJA branding, original text, graphics, manuals, software interfaces and other content are protected by intellectual-property law. Purchase of a product does not transfer FUJA intellectual property. Third-party trademarks remain the property of their owners and their appearance does not imply affiliation.

8. Embroidery files, software and user content

You are responsible for having rights to any design, logo, photo or file you submit or embroider. You grant FUJA a limited license to use submitted content only as needed to quote, fulfill, support or provide the requested service.

Software, digitized patterns and downloads may be subject to separate license terms and may not be copied, resold or shared except as permitted by those terms.

9. Reviews and communications

If you submit a review, photo or testimonial, you represent that it is truthful and that you have rights and permissions for the content and identifiable people. FUJA may display and format the content for Site and marketing use only within the permission obtained. Incentives, if any, must be disclosed.

10. Disclaimer and limitation of liability

Except for obligations that cannot be excluded, the Site is provided on an “as available” basis. To the maximum extent permitted by law, FUJA is not liable for indirect, incidental, special, punitive or consequential loss, including lost production, profit, data or business opportunity.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Indemnity

To the extent permitted by law, a business user agrees to indemnify FUJA for third-party claims arising from unlawful use, infringement by submitted designs, unauthorized modification or resale representations made by that user. This clause does not apply where prohibited or to the extent FUJA caused the claim.

12. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Mandatory consumer-protection laws in the customer’s jurisdiction continue to apply. Subject to those mandatory rights, the parties consent to the exclusive jurisdiction of the state courts located in the City and County of Denver, Colorado, and the United States District Court for the District of Colorado, without overriding mandatory consumer protections. Before filing a claim, contact fuja11@fujacn.com and allow 30 days for good-faith resolution, unless urgent relief or law requires otherwise.

No mandatory arbitration, class-action waiver or jury-trial waiver is included in these Terms.

13. Changes, severability and contact

We may update these Terms prospectively. If a provision is unenforceable, the remaining provisions continue to the extent permitted.
